Contract law is the broad body of law that governs all contracts, written and oral, in any legal matter. The term 'legal matter' is used in the definition because the contract for illegal activities such as drug trafficking, committing a crime, or engaging in activities such as gambling or sexual activity cannot be enforced in court. Contract law is one of the broadest and most important branches of law. Every day you read or hear about employment contracts, contracts to supply certain goods or services, contracts to build something like roads, bridges, planes, etc.
A contract creates an obligation for both parties in which one party must fulfill certain obligations, such as doing work, rendering services, building something, etc., while the other has the obligation to pay the agreed money. The content and provision of the contract may vary depending on the nature of the service contracted.
To understand the basic concepts and essence of contract law, it is important to know the various types of contracts that can be recognized and executed by the courts. The first type of contract is the express contract in which promises are communicated orally or in writing. An implicit contract comes into existence through the conduct of the parties indicating that they have agreed to be bound. The unilateral contract refers to the type of contract in which one of the parties accepts an offer made by the other party through the execution of the requested act. The bilateral contract refers to the contract that comes into existence by a person who accepts the offer made by the other party and promises to do the requested act.
Who can participate in a binding contract? In general, anyone of legal age who has a good opinion can hire. For most jurisdictions, the legal age of entry to the container to contract is 18 years. Corporations, companies, organizations, institutions and other entities considered as legal persons may also enter into contracts through express or implicit actions of their employees, officers and authorized agents. There are some basic elements of the contract that form the basis of contract law. These elements must be present in any contract to be considered legally binding. The first is an offer. This is an expression of goodwill, either expressly or implicitly, in being bound by the contract. An offer is different from an invitation to deal, which refers to inviting other people to make an offer. For example, a good displayed in the store is an invitation to try, since sellers want you to make a purchase offer and can reject or accept that offer.
Acceptance is the second element of the legally binding contract and refers to the expression of an unconditional agreement and acceptance of the terms of the offer. Acceptance can be in writing or oral. Contract law in most countries requires that the contract be in writing.
Third, there must be consideration. In contractual law, the principle of consideration requires that each party receives something valuable.
Finally, there must be an intention to create legal relationships. The party must reach an agreement so that it can seek a judicial remedy to enforce its rights under the contractual agreement.
