What is contained in a Louisiana LLC operating agreement? Every business needs to have a what-if document that serves to guide through dealing with the ownership question and business management. When it comes to limited liability companies, the what-if is contained in the operating agreement document.
An operating agreement refers to a document which establishes the powers, rights, liabilities, duties, and obligations of all the LLC members. A better name to refer to an operating agreement could be a membership agreement. The agreement is similar to a business partnership agreement.
Is it necessary to have an operating agreement?
It is an essential document that even an LLC with a single member called an available member LLC should have one. States don’t require you to file The operating agreement with your specific state, but several states have to create one for your records. You will need to check with your state's business division at the office of the secretary of the state to be sure you meet all the legal requirements to have an operating agreement.
What has to be included in the operating agreement?

• The name of the LLC: Certain states will require the term LLC or the limited liability company has to be included in your business name. You have to check your state websites to find the details.
• Information regarding articles of organization: It is a document that is filed with the state for registration of the LLC, and it includes the state that it is registered in and the date of registration.
• Duration of the LLC: It should be until a certain specific date or until it is dissolved
• Address: It has to be the principal office of the LLC
• Address and the names of registered agent: It refers to that one person who receives notices and correspondences
• Business purpose: It is what your business will be involved in
Members interest and contribution
The operating agreement section focuses on the way the members were able to join the LLC, the amount they contributed, their ownership or capital accounts, and the amount of losses and profits that each member should get. It has to include:
• The initial member's names
• Each members’ contribution
• Ownership interest in percentage
• How new members make their initial capital contributions and what the required amount per member should be
• When and if extra contributions are required and the way the members are going to decide
• The way to admit new members
• The way the new members will receive losses and profits yearly
• How the taxes on the distribution is to be allocated as well as distributed Management of the LLC
Here, there are two options:
• Managed by the members, which include one single member having to manage
• A hired manager who becomes an employeer
Unless it is a small LLC, it is best to designate a single person who can either be a manager or a member to manage the business. You might want to separate the reimbursement and the compensation agreement for the outside manager or managing member.
